Each party agrees to treat Information disclosed to it by the other with the same degree of care as it does in protecting its own confidential information,and Information shall be disclosed within the Recipient only on a need-to-know basis .
5.Excluded Information
The undertakings in Clauses 1 to 4 above shall not apply or shall cease to apply to Information which the Recipient can show,to the reasonable satisfaction of the Discloser:
1.has become generally available to the public,other than by breach of this Agreement; and Information shall not be deemed to be in the public domain merely because it may be derived from one or more items which are publicly known;
2.was already in the Recipient’s lawful possession prior to its acquisition from the Discloser otherwise than as a result of Recipient's breach of any legal obligation;
3.is shown by documentary evidence to have been independently discovered by the Recipient without the aid,application or use of Information;
4.becomes available to the Recipient on a non-confidential basis,whether directly or indirectly,from a source other than the Discloser,such source having the legal right to disclose such Information; or
5.is required by applicable laws or governmental regulations to be disclosed.In such event,the Recipient shall notify the Discloser in writing of the required disclosure in advance to enable the Discloser to have an opportunity to object to the appropriate court or governmental entity regarding the required disclosure.The Recipient shall use all reasonable efforts to obtain confidential treatment of such Information required to be disclosed.

各方同意把信息披露给它被其它的保护程度是其保护自己的机密信息,信息披露只在收件人.
5.排除信息,
经营者在条款1至4不得申请或者应当停止向信息显示,收信人可以合理的满意度的报告者.
已经准备向公众开放,不是由违反本协议、信息不应被视为在公共领域仅仅因为它可能来自一个或多个项目,是公众所知.
2.已经在收件人的合法拥有其收购前告知这样的接收者的任何违反法律责任.
来讲是书证已经独立地发现由没有帮助,应用程序或使用的信息.
4.变得可得到收件人在任何直接或间接的基础上,从其它来源,比报告者的合法来源的信息或披露
5.规定适用的法律、政府规则被披露.在这种情况下,受赠人应当以书面通知告知所需的信息披露事先告知,使其有机会去反对适当的法院或政府单位对于要求披露.接受者应尽一切合理的努力获得机密处理这样的信息必须披露.
