3.Section 12.4 is replaced in its entirety with the following:“Save as provided in Section 12.3(a)(i),the maximum aggregate liability of Licensor under or in connection with this Agreement or any collateral contract,whether arising in contract,tort (including negligence) or otherwise,shall in no circumstances exceed a sum equal to 100% of the license fee and the fees for any services payable by the Customer under this Agreement.This Section 12.4 shall not apply to the indemnities in Section 11.”
The first sentence of Section 15.7 (No Third Party Beneficiary) is replaced in its entirety with the following:“The Contract (Rights of Third Parties) Act 1999 shall not apply to this Agreement.”
To Section 15.3 (Entire Agreement),the following sentences are added:“Each party agrees and undertakes to the other party that the only rights and remedies available to it arising under or in connection with this Agreement or its subject matter shall be for breach of contract as provided in these terms and conditions.Nothing in this clause shall limit or exclude any liability for fraud or
the tort of deceit.”
