1.3 Seller shall provide to the Expeditor/Buyer,immediately after order placement,unpriced copies of suborders for all major buy out components.
1.4 Seller shall supply to the Expeditor/Buyer,or designated representative,a detailed Shipping Unit List which includes all equipment and/or materials to be supplied by the Seller.
1.5 The Seller shall be responsible for maintaining the Purchase Order schedule and any expediting effort performed by the Buyer shall not relieve the Seller from this responsibility.With prior notification,the material and equipment furnished and work performed under this Purchase Order shall be subject to Expediting by the Buyer and/or his Client or representative who shall be allowed reasonable access to the shops,factories and other places of business of Seller and its subcontractors and suppliers for Expediting purposes.
1.6 Seller shall notify Buyer/Expediter in writing of any actual or anticipated delays immediately upon discovery.Such notice shall include an estimated period of delay,cause,and corrective actions being taken.Slippage in Seller’s schedule may be deemed to be reasonable grounds for insecurity in which event Buyer may demand in writing that Seller will take steps to overcome or mitigate the delay.
If in Buyer’s opinion,Seller’s actual progress is insufficient to comply with the schedule requirements of this Purchase Order,Buyer may provide a written notice requesting that Seller provide adequate assurances demonstrating that corrective measures have been effected to restore Buyer’s security.If within three (3) calendar days from Buyer’s notice,Seller has not provided either the adequate assurances or remedied the condition to Buyer’s satisfaction,Buyer and Seller shall jointly establish a corrective action plan which may,as Buyer deems necessary,include the assignment of either Seller’s or Buyer’s in-shop expediting personnel to periodically visit and if necessary,reside at the manufacturing location(s),as appropriate.Costs incurred by Buyer in performance of such corrective action plan shall be administered and charged to Seller,in the form of a backcharge.
