Confidentiality:Each party agrees that,without the consent of the other party,it will not disclose to any person the contents of this LOI for a period of one year except that
either party may make any such disclosure if required to do so by any law,rule or gulation or pursuant to a decree of any court or administrative agency or if it is necessary to be disclosed to each party’s advisors.
Binding:No party has any legal obligation of any kind with respect to any transaction unless and until definitive documentation is negotiated and signed by the parties,except
for the above Clause 1 “Confidentiality,” which are intended to be legally binding.
Governing Law:This LOI shall be governed by the laws of the Republic of korea.Any disagreement,dispute,controversy or claims arising out of or relating to this LOI or the interpretation hereof or any arrangements relating hereto or contemplated herein or the breach,termination or invalidity hereof shall be brought to,and resolved at,the Seoul Central District Court.
