ART. 3 – CONSULTANT’S RESPONSIBILITIES:
3.1 The Consultant undertakes to use its best endeavours to assist Sinopec in the preparation of the Bid without any liability in terms of money and shall provide to Sinopec at the earliest time all requisite information pertaining to the Project and the Contracts such as to enable Sinopec to make an accurate bid, and shall follow up and use its best efforts to facilitate Sinopec for securing the award of the Contracts and shall, in the event of the Contracts being awarded to SINOPEC assist SINOPEC in negotiating such terms and conditions of the Contracts as are acceptable to Sinopec.

3.2 Consultant will be responsible to collect and provide to Sinopec complete and confirmed information regarding the Project and will use its best efforts to establish, promote and maintain contacts between Sinopec and Client as may be reasonably required by Sinopec from time to time in accordance with Sinopec’s instructions.

3.3 Consultant shall act as exclusive consultant to Sinopec for the Project and shall not provide the same or similar services to any other interested party during the existence of this Agreement.

3.4 Unless otherwise specifically agreed in writing the Consultant has no authority to make or conclude contracts on behalf of, or in any way to bind Sinopec.

3.5 Any negotiations by Consultant with Client shall be strictly in accordance with the terms and conditions communicated to the Consultant by Sinopec.

3.6 It is specifically understood and agreed that Consultant is not entitled to receive payments on behalf of Sinopec.

3.7 Consultant shall procure and transmit to Sinopec all relevant requests, demands and observations received from Client.

3.8 Consultant shall exercise all reasonable due diligence to keep Sinopec informed of all developments in connection with the Project and to timely respond to any reasonable request for information made by Sinopec.

ART. 4 – SINOPEC’S TRADEMARKS AND SYMBOLS:
4.1 Consultant shall not use Sinopec’s trademarks, trade names or any other symbols.

4.2 Consultant hereby agrees neither to register, nor to have registered, any trademarks, trade names or symbols of Sinopec or trademarks, trade names or symbols which are identical to or similar to Sinopec’s trade marks, trade names or symbols.
