3.20 Force Majeure:
3.20.1 Notwithstanding the provisions Clauses 3.17,3.18,and 3.19 ,the Supplier shall not be liable for forfeiture of its performance security,liquidated damages,or termination for default if and to the extent that its delay in performance or other failure to perform its obligations under the Contract is the result of an event of Force Majeure.
3.20.2 For purposes of this clause,"Force Majeure" means an event beyond the control of the Supplier and not involving the Supplier's fault or negligence and not foreseeable.Such events may include,but are not restricted to,acts of the Purchaser in its sovereign capacity,wars or revolutions,fires,floods,epidemics,quarantine restrictions,and freight embargoes.
3.20.3 If a Force Majeure situation arises,the Supplier shall promptly notify the Purchaser in writing of such condition and the cause thereof.Unless otherwise directed by the Purchaser in writing,the Supplier shall continue to perform its obligations under the Contract as far as is reasonably practical and shall seek all reasonable alternative means for performance not prevented by the Force Majeure event.
3.21 Termination for Insolvency:
3.21.1 The Purchaser may at any time terminate the Contract by giving written notice to the Supplier if the Supplier becomes bankrupt or otherwise insolvent.In this event,termination will be without compensation to the Supplier,provided that such termination will not prejudice or affect any right of action or remedy which has accrued or will accrue thereafter to the Purchaser.
3.22 Termination for Convenience:
3.22.1 The Purchaser,by written notice sent to the Supplier,may terminate the Contract,in whole or in part,at any time for its convenience.The notice of termination shall specify that termination is for the Purchaser's convenience,the extent to which performance of the Supplier under the Contract is terminated,and the date upon which such termination
becomes effective.
3.22.2 The Goods that are complete and ready for shipment within thirty (30) days after the Supplier's receipt of notice of termination shall be accepted by the Purchaser at the Contract terms and prices.For the remaining Goods,the Purchaser may elect:
a) to have any portion completed and delivered at the Contract terms and prices; and/or
b) to cancel the remainder and pay to the Supplier an agreed amount for partially completed and previously procured goods.

3.21破产终止：

3.22终止的便利：
3.22.1的书面通知买方,发送到供应商,可终止合同的全部或部分,它在任何方便的时间.终止通知应具体终止对买方的便利,在何种程度上对供应商绩效依照合同终止,以及当日即终止
生效.
3.22.2的货物齐全,并准备装运后三十日内供应商的终止通知后（30）天,应接受买方在合同条款和价格.至于余下的货物,买方可以选择：
1）有任何部分的完成,并在合同条款和价格交付;和/或
b）将取消余下的供应商支付商定的部分完成,以前采购的货物的数量.
