1 Quorum
Subjectthe provisions of the Act,one third of the totaldirectors or two directors whichever is higher with a minimum of 1 (one)Director representing each Party would constitute a valid quorum in BoardMeetings of the Company till such time they hold 50% shareholding in theCompany.Provided however that,in the event either Party’s shareholding in theCompany shall fall below 50%,it shall lose its right to be part of a validquorum.
2 Notice
A meeting may be called by the Chairman of the Board or any 1 (one) otherDirector giving notice in writing to the company secretary,or any other Personnominated in this regard by the Board,specifying the date,time and agenda forsuch meeting (“Board Meeting Notice”).The company secretary (or suchnominated person) shall upon receipt of such notice give a copy of such noticeto all Directors of such meeting,accompanied by a written agenda specifyingthe business of such meeting and copies of all papers relevant for suchmeeting.The Company shall ensure that sufficient information is included withsuch notice to the Directors to enable each Director to make a decision on theissue in question at such meeting.Not less than a minimum 7(Seven) Business Days’ prior written noticeshall be given to each Director of any Board Meeting,accompanied by the agendafor the Board meeting,unless each of the Directors shall have given writtenapproval for a meeting called at shorter notice.
