1.1.\x05Definitions
Capitalised terms used in this Agreement will,unless the context otherwise indicates,have the meaning set forth below:
“Confidential Information” means commercial,financial,marketing,technical,or other information of whatever nature (including,without limitation,information in or relating to released or unreleased software or hardware products),know-how,trade secrets and other information concerning the services in any form or medium whether disclosed orally or in writing,before or after the date of this Agreement,by any Party to the other Party,together with any reproductions of such information in any form or medium or any part(s) of such information.
“Date for Commencement” means the date set by the Parties for commencement of the Services,as stipulated in Schedule 1.
“Fees” means all accounts and expenses payable for the Services as set out in this Agreement.
“Net” means that all Fees,expenses,disbursements,and additional fees payable by the Client to the provider are to be paid in the full amount stipulated in this Agreement,without deductions for withholding tax,business tax,excise tax,VAT,bank fees and other similar withholdings,taxes,or charges.
“Services” means the functions,obligations,duties,and services to be provided by the Provider described in Schedule 1.

“保密信息”是指本合同生效日之前或之后由任何一方以口头或书面方式向另一方以任何方式或媒介而披露的商业、金融、营销、技术或其他任何性质的信息（包括但并不局限于已发布或未发布之软件或硬件中所包含或与之相关的信息）、窍门、行业秘密或者与此类服务有关的其他信息.
“开始日期”是指附录1所规定由合同各方所确定的服务开始日期.
“费用”是指本合同所规定服务的所有帐户和支出.
“净值”是指本合同所规定应由客户所支付的所有费用、开支、付款以及附加费用,并且没有扣除预扣税、企业税、消费税、增值税、银行费用以及其他的类似预扣、税或收费.
“服务”是指附录1种所描述的应由提供商所提供的各种职能、责任、义务和服务.
