股东资格，则是指法律主体取得股东地位，享有股东权利、承担股东义务的能力或条件，有限责任公司股东的认定是公司法案件审理中经常涉及的问题，本文结合立法和实务分析认定股东资格的各项法律依据及其效力，并只对几种特殊股东的资格认定及股东资格认定中的若干实际问题做了分析和研究，希望为该问题的解决提供绵薄之力。

摘 要
