Either party hereto may terminate this Agreement if theother party substantially breaches any material representation or warranty madeby it herein or defaults in the performance of any of its material obligationshereunder, and fails to remedy the same within a period of seven (7) daysfollowing receipt from the other party of written notice specifying such breachor default. A party shall be consideredin default hereunder, and the other party thereby shall have the right toterminate this Agreement immediately, if it makes a general assignment for thebenefit of creditors or files a petition in bankruptcy/insolvency, or has filedagainst it a petition in bankruptcy/insolvency or is adjudicated as bankrupt,insolvent or has a receiver, trustee or liquidator appointed for it.

任何一方可以终止本协议如果另一方实质性违反了其中的重要陈述或保证或以实际行动违反其负担的重要义务并且未能在收到另一方开具的发票或明确指出违约的通知后的七日内采取相当的救济措施。一方如果被认为有以下违约行为，另一方享有立即终止本协议的权利：一方为保护债权人利益进行整体转让；或提交了破产申请；或提交了反对破产的申请（这句不是很确定什么意思）；或被法院裁定破产或被指定了破产管理人或清算人。
