4.It is agreed that ABC shall have the unrestricted right to utilize any of the suggestions regarding our operations
which you may make in connection with the evaluation or performance of work for ABC,and in the event that any of your
suggestions pertaining to our operations are of patent able nature,it is agreed that we receive a royalty-free,nonexclusive license under any patents that you or your company may hereafter acquire based on your suggestions.We do not expect to receive and it is clearly understood that we are not entitled to any rights under any patents that you now own except to the extent such inventions are incorporated in the work furnished to us in which event we have the royalty free right to use and resell such work.
5.It is further agreed between the parties hereto that in the event of a breach or a threatened breach of the terms of
this agreement,ABC shall be entitled to an injunction restraining such breach or threatened breach of this agreement without showing or proving any actual damage sustained by ABC.
6.You agree to indemnify and hold us harmless from any loss by reason of the liabilities imposed by Workman’s
Compensation Laws,from any loss or damages to us,and from any claims or liabilities of any type imposed by law on account
of property damage,bodily injury,including death resulting therefrom (and all expenses in connection therewith) sustained
or alleged to be sustained by any person or persons,which is alleged to result from the sole or contributing negligence of
you,your agents or employees in the performance of any related activities on ABC premises or in the performance of work for
us except where the damage or loss results directly and solely from our negligence.
7.Either party may terminate this agreement on ten (10) days written notice to the other,but such termination shall
not apply to confidential information previously received,obtained or developed prior to termination of this agreement.
8.This agreement shall be binding upon contractor and its successors and assignees and upon ABC and its successors and
assigns.

7.任何一方均可提前10天书面通知对方终止本协议,但终止不适用于终止前已经收到、获得和开发的保密信息.
8.本协议将对承包商及其继承人和代理人、对ABC及其继承人和代理人有约束力.
