With reference to the loan agreement no.xxxxxx （贷款合同编号）(hereinafter called
“the agreement”) signed between Shenzhen Development Bank Co.Ltd,Head Office Offshore Banking Center (hereinafter called “the lender”) and xxxxxx (离岸授信客户名称) (hereinafter called “the borrower”) for a principal amount of xxxxxx （授信币种和总金额）,We,xxxxxx（备用信用证开证行名称）,having our registered office in xxxxxx,（开证行地址） hereby issue this irrevocable standby letter of credit No xxxxxx （备用信用证编号）in the lender’s favor on the behalf of xxxxxx （备用信用证申请人名称） for an amount up to xxxxxx （备用信用证币种和金额） (say words xxxxxx) which covers the principal amount of the agreement plus interest accrued from the aforesaid principal amount and other charges all of which the borrower has undertaken to pay the lender.
This standby letter of credit is sight payment and available by telegraphic transfer within 5 working days upon our receipt of your authenticated swift stating that the amount in xxxxxx (备用信用证币种),under the agreement,represents and covers the principal amount of indebtedness plus unpaid interest thereon,fees and your banking charges which are due and unpaid by the borrower.
This standby letter of credit is neither assignable nor transferable.
Partial drawing under this letter of credit is allowed.
This standby letter of credit will come into effect on xxxxxx （生效日） and expire on xxxxxx （到期日）at the counter of the lender.
